Our role is to help facilitate a potential connection. Any engagement for brokerage or transaction-related services is between you and the independent broker or other professional you choose to work with. 3. No Guarantee of a Match or Transaction We may review information you provide and use it to identify potential broker connections. However, we do not guarantee: That a suitable broker will be available. That any broker will accept your inquiry or agree to represent you. That an introduction will result in a brokerage engagement. That your business will sell, that a buyer will be found, or that a transaction will close. Any particular sale price, valuation, timeline, or financial outcome. You are responsible for evaluating whether a broker is appropriate for your needs. 4. Independent Business Brokers Business brokers introduced through The Exit Key are independent third parties, not our employees or agents merely by virtue of being listed, recommended, or introduced. We do not control their professional conduct, services, advice, fees, representations, availability, or results. We are not responsible for their acts or omissions, subject to rights and obligations that cannot be excluded under applicable law. Before engaging a broker, you should independently review their qualifications, experience, references, engagement agreement, fee structure, and any applicable licensing or regulatory requirements. Any brokerage engagement, representation agreement, confidentiality agreement, or transaction agreement is separate from your use of The Exit Key. 5.
